TERMS AND CONDITIONS - VEHYLY

Welcome to VEHYLY. These Terms and Conditions ("Terms") govern the use of our platform, mobile application, and related services (collectively, the "Service"). By accessing or using VEHYLY, you agree to be bound by these Terms.


1. DEFINITIONS

2. ACCEPTANCE OF TERMS

2.1 By creating an account, accessing the Platform, or using any functionality of the Service, you confirm that:
- You are at least 18 years old
- You have read and accept these Terms
- You provide truthful and up-to-date information

2.2 We reserve the right to modify these Terms at any time. Modifications will take effect upon publication on the Platform. Continued use of the Service after such modifications constitutes acceptance of the updated Terms.


3. USER REGISTRATION AND ACCOUNT

3.1 Account creation:
- You must provide accurate and complete information
- You are responsible for maintaining the confidentiality of your password
- You must notify us immediately of any unauthorized use of your account

3.2 Account types:
- Client Account: to book services and purchase products
- Professional Account: to offer beauty services
- Vendor Account: to sell products on the Marketplace

3.3 Verification:
- VEHYLY may require identity verification for certain functionalities
- Professionals must provide documentation proving their training or licenses, when applicable

3.4 Suspension and termination:
- We may suspend or cancel your account if you violate these Terms
- You can cancel your account at any time from your profile settings
- Termination does not exempt you from pending obligations


4. SUBSCRIPTION PLANS

4.1 Plan types:

VEHYLY offers the following subscription plans for Professionals:

Basic Plan (Free):
- Basic profile
- Up to 0 products on the Marketplace
- No access to advanced statistics
- 5% commission on appointments, TAP, and products

Premium Plan:
- Featured profile
- Up to 6 products on the Marketplace
- 2 promoted posts per month
- Basic statistics
- 5% commission on appointments, TAP, and products

Pro Plan:
- Priority profile
- Unlimited products on the Marketplace
- Unlimited promoted posts
- Complete advanced statistics
- 2% commission on appointments, TAP, and products

4.2 Trial period:
- New Professionals receive 60 days of free access to all Pro Plan features
- After the trial period, the Basic Plan applies unless you select another plan

4.3 Subscription payment:
- Subscriptions are charged monthly or annually according to your choice
- Payments are processed by Stripe
- Subscriptions renew automatically
- You can cancel at any time, but no refunds for partial periods

4.4 Plan changes:
- You can change your plan at any time from your profile
- Upgrades take effect immediately
- Downgrades take effect at the next billing cycle


5. COMMISSIONS AND FEES

5.1 Commission on appointments and services:
- Basic Plan: 5% of the value of each appointment or TAP service
- Premium Plan: 5% of the value of each appointment or TAP service
- Pro Plan: 2% of the value of each appointment or TAP service

5.2 Marketplace commission:

For products sold on the Marketplace, a 10% commission is applied, distributed as follows:

If the client is referred by an affiliated Professional:
- 5% for VEHYLY
- 5% for the affiliated Professional

If the client purchases directly:
- 10% for VEHYLY

5.3 Payment processing fees:
- All commissions include Stripe fees (approximately 2.9% + $0.30 USD per transaction)
- VEHYLY covers these fees; no additional charges to the Professional or Vendor

5.4 Fund withdrawals:
- Professionals can request withdrawals from their wallet when they reach a minimum of $100 USD
- Withdrawals are processed within 5-7 business days
- VEHYLY reserves the right to withhold funds for disputes or investigations


6. PROFESSIONAL SERVICES

6.1 Professional responsibilities:
- Professionals are independent contractors, not VEHYLY employees
- They are responsible for the quality, safety, and legality of the services they offer
- They must have the licenses, permits, and insurance required by law
- They must comply with applicable hygiene and safety standards

6.2 Bookings and appointments:
- Professionals set their own availability and prices
- They must honor booked appointments or cancel with at least 24 hours' notice
- They may reject appointment requests at their discretion

6.3 Cancellations:
- Professionals can cancel appointments with at least 24 hours' notice without penalty
- Cancellations with less than 24 hours' notice may result in penalties
- Repeated cancellations may result in account suspension


7. PRODUCT MARKETPLACE

7.1 Product sales:
- Vendors are responsible for accurate description, quality, and legality of their products
- They must comply with all applicable laws regarding cosmetic and beauty products
- Counterfeit, expired products, or those infringing intellectual property rights are not allowed

7.2 Shipping:
- Vendors are responsible for product packaging and shipping
- They must provide tracking numbers when available
- Shipping times are estimated and may vary

7.3 Returns and refunds:
- Clients may request returns within 14 days of receipt
- The product must be unused and in its original packaging
- Vendors must process refunds within 7 business days after receiving the return
- Return shipping costs are the Client's responsibility, unless the product is defective


8. PAYMENT SYSTEM AND WALLET

8.1 Payment processing:
- All payments are processed through Stripe, an external provider
- VEHYLY does not store credit card information
- Professionals receive payments in their internal VEHYLY wallet

8.2 VEHYLY Wallet:
- Funds are deposited into the Professional's wallet after completing the service or sale
- Professionals can request withdrawals when they reach the minimum balance of $100 USD
- Withdrawals are transferred to the registered bank account

8.3 Disputes and chargebacks:
- In case of disputes, VEHYLY may withhold funds while the issue is resolved
- Fraudulent chargebacks may result in account suspension


9. USER CONTENT

9.1 Posts and content:
- Users can post photos, videos, reviews, and comments
- You are responsible for the content you post
- You grant VEHYLY a worldwide, non-exclusive, royalty-free license to use, reproduce, and distribute your content on the Platform

9.2 Prohibited content:

It is strictly prohibited to post content that:
- Is illegal, offensive, defamatory, or discriminatory
- Infringes intellectual property rights
- Contains spam, malware, or malicious links
- Promotes illegal or dangerous activities
- Contains nudity or explicit sexual content
- Harasses, threatens, or intimidates other users

9.3 Moderation:
- VEHYLY reserves the right to remove any content that violates these Terms
- We may suspend or cancel accounts that post inappropriate content


10. REVIEWS AND RATINGS

10.1 Clients can leave reviews and ratings after receiving a service or product.

10.2 Reviews must be honest, accurate, and based on your actual experience.

10.3 It is prohibited to:
- Post false or fraudulent reviews
- Offer incentives in exchange for positive reviews
- Leave negative reviews with malicious intent

10.4 Professionals can respond to reviews but cannot request their removal unless they violate these Terms.


11. INTELLECTUAL PROPERTY

11.1 VEHYLY, its logo, design, and all original content are property of VEHYLY LLC and are protected by intellectual property laws.

11.2 You may not use our trademarks, logos, or content without prior written authorization.

11.3 We respect third-party intellectual property rights and expect our users to do the same.


12. PRIVACY AND DATA PROTECTION

12.1 Use of our Service is also subject to our Privacy Policy, which describes how we collect, use, and protect your personal information.

12.2 By accepting these Terms, you also accept our Privacy Policy.


13. USER CONDUCT

13.1 It is prohibited to:
- Use the Service for illegal activities
- Impersonate another person or entity
- Attempt to access other users' accounts
- Interfere with the Platform's operation
- Use bots, scripts, or unauthorized automation
- Collect information from other users without their consent

13.2 Violation of these rules may result in suspension or cancellation of your account.


14. LIMITATION OF LIABILITY

14.1 VEHYLY acts as an intermediary platform between Professionals and Clients. We are not responsible for:
- The quality, safety, or legality of services provided by Professionals
- The quality, authenticity, or safety of products sold on the Marketplace
- Disputes between users
- Damages, injuries, or losses resulting from the use of services or products

14.2 TO THE MAXIMUM EXTENT PERMITTED BY LAW, VEHYLY SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.

14.3 Our total liability to you shall not exceed the amount paid by you to VEHYLY in the last 12 months.


15. INDEMNIFICATION

You agree to indemnify, defend, and hold harmless VEHYLY, its directors, employees, and affiliates from any claim, loss, liability, demand, damage, cost, or expense (including reasonable attorneys' fees) arising from:
- Your violation of these Terms
- Your violation of any law or third-party rights
- Your use of the Service
- Content you post


16. DISPUTE RESOLUTION

16.1 Direct communication:
Before initiating any legal proceedings, the parties agree to attempt to resolve disputes through direct communication.

16.2 Mediation:
If direct communication does not resolve the dispute, the parties may agree to submit to mediation.

16.3 Arbitration:
Any unresolved dispute shall be submitted to binding arbitration in accordance with the rules of the American Arbitration Association.

16.4 Governing law:
These Terms shall be governed by the laws of the State of Texas, United States, without regard to its conflict of law provisions.

16.5 Jurisdiction:
You agree to the exclusive jurisdiction of courts located in Harris County, Texas for any dispute not resolved through arbitration.


17. SERVICE MODIFICATIONS

17.1 VEHYLY reserves the right to modify, suspend, or discontinue any part of the Service at any time, with or without prior notice.

17.2 We shall not be liable to you or any third party for any modification, suspension, or interruption of the Service.


18. TERMINATION

18.1 By the user:
You can cancel your account at any time from your profile settings.

18.2 By VEHYLY:
We may suspend or cancel your account if:
- You violate these Terms
- You participate in fraudulent activities
- You receive multiple complaints from other users
- For any reason we deem necessary to protect the Platform or other users

18.3 Effects of termination:
- You will lose access to your account and services
- Pending obligations will remain in effect
- Pending funds will be processed according to our policies


19. GENERAL PROVISIONS

19.1 Entire agreement:
These Terms, together with our Privacy Policy, constitute the entire agreement between you and VEHYLY.

19.2 Severability:
If any provision of these Terms is deemed invalid or unenforceable, the remaining provisions shall remain in full force and effect.

19.3 Waiver:
Failure by VEHYLY to exercise or enforce any right does not constitute a waiver of that right.

19.4 Assignment:
You may not assign or transfer these Terms without our prior written consent. VEHYLY may assign these Terms without restriction.

19.5 Notices:
Notices will be sent to the email address registered in your account.
